Terms of Service
1. Introduction: Welcome to Product Camp. By using our services, you agree to comply with and be bound by the following terms and conditions. Please review them carefully.
2. Services: Product Camp offers a range of services including, but not limited to, product design, prototyping, product sourcing, and production management. Specific terms for each service may be outlined in individual service agreements.
3. User Obligations: You agree to provide accurate and complete information when engaging with our services. You are responsible for maintaining the confidentiality of any account information and for all activities that occur under your account.
4a. Intellectual Property Rights: Except as otherwise provided herein or superseded in a direct agreement, all Intellectual Property Rights in the designs, prototypes, data, and other materials related to the finished product created by Product Camp or its affiliates in the course of performing services under this Agreement shall be the exclusive property of the client. Product Camp agrees to assign and hereby assigns to Client all rights, titles, and interests in and to such Intellectual Property Rights.
4b. Pre-existing Intellectual Property: Notwithstanding the foregoing, any methodologies, know-how, processes, or technologies developed by Product Camp prior to the commencement of this Agreement or outside the scope of this Agreement (“Pre-existing IP”) shall remain the sole property of Product Camp
5. Confidentiality: Both parties agree to keep all confidential information disclosed during the course of the services private and not to use it for any purpose other than fulfilling the obligations under this agreement.
6. Payment Terms: Fees for services will be outlined in the individual service agreements. Payments are due as specified in the agreement, and late payments may be subject to additional charges. All fees are non-refundable unless otherwise stated.
7. Termination: Either party may terminate the service agreement with a written notice. Upon termination, you must cease all use of the services and return or destroy any confidential information received from Product Camp.
8. Warranties and Disclaimers: Product Camp provides its services on an "as is" basis without any warranties of any kind, either express or implied. We do not guarantee that the services will meet your specific requirements or that they will be uninterrupted or error-free.
9. Limitation of Liability: In no event shall Product Camp be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services. Our total liability for any claims under this agreement shall not exceed the amount paid by you to Product Camp for the services in question.
10. Indemnification: You agree to indemnify and hold harmless Product Camp, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising out of your use of our services or your violation of these terms.
11. Governing Law: These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Product Camp operates, without regard to its conflict of law principles.
12. Changes to Terms: Product Camp reserves the right to modify these terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services after such changes constitutes your acceptance of the new terms.
